Terms of Service

This User Agreement (referred to as "User Agreement," "Agreement," or "OAP") applies to your use of orixa.ltd and cardapp.orixa.tech.

This User Agreement, together with all other terms, conditions and/or agreements applicable to you and/or published on orixa.ltd and cardapp.orixa.tech, constitutes a binding legal agreement between you and Orixa. This Agreement will also govern the contractual relationship between you and Orixa regarding your direct or indirect access, purchases and/or any transactions through orixa.ltd and cardapp.orixa.tech. This Agreement and all other terms, conditions and/or agreements do not require any written signature and/or execution.

Before using, accessing, or registering an account, please read this Agreement carefully. Your access to or use of orixa.ltd or cardapp.orixa.tech constitutes your irrevocable acceptance and agreement to be legally bound by this Agreement. If you do not agree with any terms and conditions of this Agreement, please stop any access or use of orixa.ltd or cardapp.orixa.tech.

Permitted and Prohibited Activities

You may only use orixa.ltd and cardapp.orixa.tech for lawful purposes. You may not use orixa.ltd and cardapp.orixa.tech in the following circumstances:

• Use that violates or intends to violate any applicable local, national, or international laws, regulations, or policies, causing Orixa to violate the aforementioned laws, regulations, or agreements;
• Engaging in activities considered illegal or fraudulent, or having any illegal or fraudulent purpose or consequence;
• Intending to cause harm or attempting to harm individuals, including minors as defined by local laws;
• Implementing or displaying abusive, hate-inciting, violent, or insurrection-inciting content, or content that does not meet our prescribed content standards;
• Associated with unsolicited or unauthorized advertising, promotional materials, or any form of spam;
• Associated with harmful programs such as viruses, spyware, or similar computer code designed to adversely affect any computer software or hardware functionality;
• Use that facilitates illegal evasion of applicable taxes, levies, or duties, or assists in any form of tax evasion;
• Use that may directly or indirectly cause complaints, disputes, reversals, chargebacks, or other forms of liability for Orixa, its customers, third parties, or yourself; or
• Engaging in purposes not approved by Orixa (if you are authorized for specific commercial purposes, you should avoid using Orixa's services and/or products for personal or any unapproved commercial purposes).

Unsupported Business Types

Orixa, orixa.ltd, and cardapp.orixa.tech do not provide any products or services to businesses involved in the following, nor do they support related transactions:

• Adult entertainment and affiliated services, including pornographic content, escort services, prostitution services, any advertisements related to sexual services, and sexual services;
• Gambling services provided in illegal activities or areas without necessary permits or licenses;
• Counterfeit or unauthorized goods, products, or services that infringe third-party intellectual property or ownership rights;
• Manufacturing, sale, or supply related to weapons and weaponry;
• Providing regulated financial services (directly or indirectly) without valid permits and/or registration;
• Selling and/or distributing any product or service without necessary permits or licenses required by competent authorities or statutory bodies;
• Selling and/or distributing products or services that promote or facilitate discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age;
• Activities related to Ponzi/pyramid schemes/multi-level marketing/telemarketing;
• Trade involving restricted and/or endangered animal species and their derivative products;
• Sale, distribution, and/or trade of archaeological and cultural artifacts, including unauthorized export and trade of Iraqi cultural property;
• Transactions lacking genuine commercial intent, such as multi-party fundraising or cashing out credit cards or stored-value cards; or
• Any other business or transaction that exceeds our risk tolerance as outlined in our internal agreements, our banking partners, or participants within our payment network.

Restricted Entity Categories

Additionally, Orixa, orixa.ltd, and cardapp.orixa.tech do not provide any services or business to the following categories of entities:

• Sanctioned Jurisdictions: Located, registered, residing, or operating in countries or regions sanctioned by OFAC (Office of Foreign Assets Control of the U.S. Department of the Treasury)
• Sanctioned Individuals and Entities: Individuals and entities listed on OFAC's Specially Designated Nationals and Blocked Persons List ("SDN List")
• Affiliated Entities: Entities owned 50% or more by individuals or entities in the aforementioned categories, or otherwise controlled by or controlling entities in the aforementioned categories

Terms of Service Use

Before using Orixa Card services, you need to agree to the following terms:

• Account Security: You are responsible for protecting the security of your account information and password
• True Information: You need to provide true and accurate personal information during registration
• Compliant Use: You may not use the card for illegal activities or behaviors that violate the terms of service
• Fee Payment: You agree to pay all relevant fees and transaction costs

Limitation of Liability

Orixa is not responsible for service interruptions, data loss, or economic losses caused by force majeure, third-party reasons, or your own fault. In any case, Orixa's liability is limited to the total service fees you paid in the 12 months before the dispute arose.

Agreement Modifications

Orixa has the right to modify this Agreement at any time. The modified Agreement will be published on orixa.ltd and cardapp.orixa.tech. Your continued use of the service indicates acceptance of the modified Agreement.

Applicable Law and Dispute Resolution

This Agreement is governed by the laws of Orixa's place of registration. Any dispute should first be resolved through friendly negotiation. If negotiation fails, it should be submitted to the court with jurisdiction over Orixa's location.
